1.  Analyzing and Recasting Financials for Small to Midsize Businesses, 8 hrs, TABB #1030 & TREC #39643
July 1, Thursday, $200.  Instructor:  Jeff Jones
Business financial statements and tax returns are prepared to minimize table income.  To sell a business you will learn to recast or adjust those financials statements to show the business's actual financial capability.  Learn how to read and analyze financial statements, determine discretionary earnings and establish the tangible/intangible assets that will be transferred with a sale of a business.  

2. Principles and Ethics of Business Brokerage, 4 hrs,  #1050

Educational and professional guidelines provide a uniform standard of conduct among business brokers and clients which also include interaction with professionals in finance, banking, accounting, law, real estate, appraisers and other services used by business brokers.  Topics include regulatory bodies that control and/or regulate activities of business brokers, professional ethics, conduct and the twenty articles of the TABB Code of Ethics, in addition to the 10 commandments of safe brokerage.  A business broker will become familiar with or have factual knowledge of private and/or personal details of a clients business operations and financials. What, when or to who are you allowed, if at all, to disclose those details?  to know and apply the answer with good judgment becomes the mark of a professional.

3.  Benefits of Third Party Valuation, 2 hrs

Third party valuations provide a business owner with a clear understanding of how well their business is performing with a focus on the key indicators that drives its future performance. 
Benefits of Third Party Valuation, taught through a series of real case studies, provides students with a basic understanding of financial statements, specifically how the Profit and Loss Statements and Balance Sheets interact with each other. You will learn how meaningful information can be extracted from financial statements. This includes analytical techniques linked to specific business decisions such as industry benchmarking, horizontal analysis, vertical analysis and the different types of business valuations.

4. Legal Aspects of Business Brokerage, 4 hrs, TABB #1010, $125

Know how to find and use an attorney for your client and yourself. Understand how to deal with the different types of attorneys you might encounter with a business brokerage deal. Navigate, use and know when to modify your listing form and various other forms. Identify the entities used to operate a business and the owners of that business.  Have a general knowledge of the typical closing documents used in the sale of a business.  Identify the proof of ownership documents needed to sell a business.

5. Advanced Legal - The M & A Process, 8 hrs, TABB #2010 & TREC #39639, $200

Your opportunity to learn the process of Mergers and Acquisitions. A process with lots of moving parts taught by seasoned leaders with a practical approach over academic advice. Among the many aspects discussed: How is an M&A Deal different from Main Street? What are the legal issues particular to M&A? Valuation of M&A businesses, Strategic Buyers vs Financial Buyers, Structuring complex transactions, Potential funding sources and more. If you have some experience as a business broker, you will appreciate the differences in the process and skills involved. This is where you can learn and understand working deals up to $25,000,000. Students will receive an e-book of 100+ pages after class completion.
