1. Legal Aspects of Business Brokerage; 4 hrs, #1010    
February 4, Thursday  $125.  Instructor: John C. Willems, attorney.  Real estate & biz law.

A 4-hour course in understanding of the legal aspects and viewpoints of the attorney and the court to be better positioned to mitigate broker liability in addressing potential issues and have better conversations with buyer and seller attorneys. Provides a walk through on the issues and structure of documents typically seen in business brokerage transactions and to help you to manage the deal process to closing. 

2.  Introduction to Business Brokerage Boot Camp -  Two 8 hr days   16 credit hours for TREC #37261. and for TABB #1000. 
April 1 & 2, Thursday & Friday.  $395.  Instructors:  Bob Ross  & Ben Johnson

Initial training to become a Business Broker taught by seasoned leaders in the profession. Learn about the role, value and ethics of the Business Broker in the process of finding sellers, preparing listings, finding qualified buyers, negotiations and closing sales. You will become knowledgeable in the skill levels associated with the various Business Broker Associations, certifications and specialties. 
 
3. Pricing Small Businesses and the Valuation Process, 4 hrs,  #1040 
May 6, Thursday  $125.  Instructor: Ben Johnson
       
A 4-hour overview of the business valuation process for small or mid-sized businesses with a focus on the professional techniques used to price a business for sale. You will learn when to use different value approaches as a foundation to developing your business pricing skills.
 
4. Tax Issues of General Business Brokerage, 8 hrs,  #1020           
June 3, Thursday.  $200.   Instructor: Monty Walker

Every financial decision in selling a business has a tax implication. An 8-hour course that looks at the differences in stock versus asset sales and the tax implications associated with each. Also covered are tangible and intangible assets including depreciation and amortization.  Some components of a business transaction receive ordinary tax treatment, some receive capital treatment and some are non-taxable. The information in this course is essential to understanding potential tax implications in a business transaction. 

5.  Analyzing and Recasting Financials for Small to Midsize Businesses, 8 hrs, TABB #1030 & TREC #35214
July 1, Thursday, $200.  Instructor:  Jeff Jones

Business financial statements and tax returns are prepared to minimize table income.  To sell a business you will learn to recast or adjust those financials statements to show the business's actual financial capability.  Learn how to read and analyze financial statements, determine discretionary earnings and establish the tangible/intangible assets that will be transferred with a sale of a business.  

6. Principles and Ethics of Business Brokerage, 4 hrs,  #1050
August 5, Thursday, $125.   Instructor:  Nolan Duck       
   
Educational and professional guidelines provide a uniform standard of conduct among business brokers and clients which also include interaction with professionals in finance, banking, accounting, law, real estate, appraisers and other services used by business brokers.  Topics include regulatory bodies that control and/or regulate activities of business brokers, professional ethics, conduct and the twenty articles of the TABB Code of Ethics, in addition to the 10 commandments of safe brokerage.  A business broker will become familiar with or have factual knowledge of private and/or personal details of a clients business operations and financials. What, when or to who are you allowed, if at all, to disclose those details?  to know and apply the answer with good judgment becomes the mark of a professional.

8. Legal Aspects of Business Brokerage, 4 hrs, TABB #1010, $125
September 22, Wednesday 8:30am - 12:30pm
Know how to find and use an attorney for your client and yourself. Understand how to deal with the different types of attorneys you might encounter with a business brokerage deal. Navigate, use and know when to modify your listing form and various other forms. Identify the entities used to operate a business and the owners of that business.  Have a general knowledge of the typical closing documents used in the sale of a business.  Identify the proof of ownership documents needed to sell a business.

9. Advanced Legal - The M & A Process, 8 hrs, TABB #2010 & TREC #39639, $200
October 21 & 22, two 4 hr days, 8:30am - 12:30pm
